Verallia introduces the new version of Virtual Glass to help its customers optimize their development time – time to market- and their costs. The result of a significant R&D effort, this digital tool makes it possible to create and visualize glass packaging (bottles and jars) filled, labelled and encapsulated with a realism never before achieved. At the forefront of virtual reality and 3D computing technologies, Virtual Glass very quickly generates hyper-realistic renderings of unprecedented quality in terms of image definition. These renderings include up to six models and can be used for communication purposes (online catalogue, promotional visuals, etc.).
With this new tool, accessible only from MyVerallia - Verallia's customer portal - it only takes a few clicks to generate a realistic look and feel for a complete package. After choosing a bottle from the catalogue, customer can add the content and/or a cap of their choice, and import their own labels. They then visualize their product project, placing it in a neutral or realistic scene, and can compare it with another project or an existing product.

Verallia Unveils the Burgundy Air 300G: The world’s Lightest Burgundy BottleAs Europe’s leading glass packaging producer for beverages and food, Verallia takes another step in its lightweighting revolution with the launch of the Burgundy Air 300g, the world’s first ultra-light Burgundy bottle, standing 290mm tall.
A model of disruptive eco-design, it preserves the iconic silhouette of traditional Burgundy bottles significantly reducing its environmental footprint. With the Burgundy Air 300G, Verallia once again confirms its pioneering role in transforming glass packaging to support the wine industry’s sustainability and competitiveness.

A TECHNICAL FEAT SERVING THE ENVIRONMENT
This innovation stems from years of R&D expertise and state-of-the-art industrial knowhow. The challenge was to maintain the distinctive aesthetics of Burgundy bottles while drastically cutting their weight.
Weighing just 300 grams (compared to the European average of 450g0F 1) with a 75 cl capacity, the Bourgogne Air 300G reduces raw material use and COâ‚‚ emissions by 33%. Producing one million bottles saves 66 tonnes of COâ‚‚ (scopes 1 and 2), 279 MWh of energy, and 76 m³ of water. Depending on the glass colour, it can contain up to 86% recycled glass, further minimizing its environmental impact.
THE « AIR » RANGE: A BREATH OF INNOVATION
Following the success of the Bordelaise Air 300G, launched in November 2023 and now distributed in six European countries, along with the Air jars and My Air, Verallia expands its Air range with Burgundy Air 300G. The Air collection embodies Verallia’s conviction: to lighten is to transform, offering producers and consumers a new generation of packaging that combines lightness, aesthetics, and logistical efficiency. The Burgundy Air 300G will soon be available with both screw and cork finishes, and in three colours: antique green, dead leaf, and flint (clear). Verallia, the European leader and world's third-largest producer of glass packaging for beverages and food products, has inaugurated a new oxy-combustion furnace equipped with HeatOx™ technology, an innovative solution owned by Air Liquide, at its Campo Bom plant in Rio Grande do Sul. This €111 million investment marks a major milestone in Verallia’s growth strategy in Brazil, reflecting the Group’s long-term vision and commitment to sustainable innovation.

STRENGTHENING LOCAL IMPACT THROUGH EMPLOYMENT AND INNOVATION
The furnace integrates state-of-the-art production systems, increasing Campo Bom’s capacity to 820 tons of glass per day and introducing three production lines.
To support this expansion, Verallia creates 108 new jobs to date, including 21 women and 7 people with disabilities, demonstrating its strong commitment to diversity and inclusion. The combined Campo Bom 1 and Campo Bom 2 sites now employ 267 people.
Over 74,000 hours of training prepare new employees to operate the furnace’s advanced systems, supported by knowledge-sharing initiatives with teams from Verallia’s Jacutinga (MG) and Porto Ferreira (SP) plants.

Reducing Carbon Emissions with the HeatOx™ Technology
Developed in partnership with Air Liquide and Air Industrie Transition, the furnace uses HeatOx™ oxy-combustion technology, which preheats oxygen to 550°C and natural gas to 450°C using furnace exhaust gases. This improves thermal efficiency and reduces oxygen and fuel consumption. A high boosting system supplements the process with electrical energy, lowering fossil fuel use during the melting process.
This innovation reduces carbon emissions by up to 20% compared to conventional furnaces.

The Science Based Targets initiative has validated Verallia’s Net Zero 2040 trajectory in line with the SBTi Net-Zero Standard [1]. This commitment confirms the strength of the Group’s climate strategy, the result of constant investments and concrete actions to reduce its environmental impact.
The Group is committed to achieving its Net Zero target by 2040 for scopes 1&2, illustrating its pioneering role in the glass packaging sector for beverages and food products.

A NEW AMBITION FOR 2040
The SBTi had previously validated the Group’s short-term target to reduce COâ‚‚ emissions from scopes 1 & 2 by -46.2% by 2030 compared to 2019 base year. This target is aligned with the most ambitious trajectory aiming to limit global warming to +1.5°C compared to pre-industrial levels, in line with the recommendations of the IPCC (Intergovernmental Panel on Climate Change) and the Paris Agreement.
This year, the SBTi officially validates Verallia’s long-term Net Zero 2040 trajectory according to its Net-Zero Standard. By 2040, Verallia commits to reducing its COâ‚‚ emissions from scopes 1 & 2 by 90% and offsetting the remaining 10% compared to 2019 base year. Verallia thus becomes the first global producer of glass packaging for food and beverages to commit to the Net Zero trajectory for 2040.
A SUSTAINABILITY STRATEGY ALREADY OPERATIONAL
SBTi’s validation is part of a broader approach driven by Verallia’s purpose: Re-imagine glass for a sustainable future. For several years, the Group has been deploying structural levers to accelerate its decarbonization and reduce its environmental footprint:
- Between 2019 and 2024, scopes 1 and 2 emissions have already decreased by 24.7%.
- Our first 100% electric furnace has been producing decarbonized bottles since March 2024 in Cognac, France.
- The use of cullet (recycled glass) increased from 49% to 56.4% between 2019 and 2024.
- More than 1/3 of our plants already operate with 100% renewable electricity.
- 74% of sites have obtained ISO 50001 certification, ensuring optimized energy management.

Confirmation of BWGI’s Planned Tender Offer for Verallia Shares, Without Delisting
The Board of Directors has received today an offer from BWGI under the terms of which BWGI proposes to acquire the control of Verallia by way of a tender offer, at a price of 30 euros (dividend of 1.70 euros attached) per share, without delisting. This offer is not subject to any success threshold other than reaching the legal threshold of 50% of the share capital or voting rights. BWGI expects to file the offer to the Autorité des marchés financiers (“AMF”) in the course of the first half of April 2025, and the initial offer period to close around the end of the first semester of 2025.
Verallia takes note of this offer, which will be examined in detail by its Board of Directors in the coming weeks. Verallia intends to use this period to discuss the terms of this offer with BWGI, in the best interests of all its stakeholders.
As a reminder, in accordance with the provisions of the General Regulations of the AMF and best corporate governance practices, the Board of Directors has set up an ad hoc committee composed exclusively of independent directors within the meaning of the AFEP-MEDEF Corporate Governance Code. The committee is chaired by Marie-José Donsion and includes Pierre Vareille and Didier Debrosse. Ledouble was appointed by the Board of Directors, upon recommendation of the ad hoc committee, as an independent expert to draft a report on the fairness of the financial terms of the offer.
The Board of Directors will meet to issue its reasoned opinion on the offer, after reviewing the independent expert’s report and the recommendations of the ad hoc committee. This reasoned opinion and the report of the independent expert will be made public as part of the response document (note d’information en réponse) of the Company, which will be filed with the AMF and announced in a press release published by the Company in due course.

Verallia France and Café de Paris launch a new range of recyclable and industrially reusable glass bottles for sparkling wine
Verallia France, Europe's leading producer and a subsidiary of the world's third largest producer of glass packaging for beverages and food products, has just produced a brand-new range of recyclable and industrially reusable glass bottles for Café de Paris. Thanks to these new eco-designed containers produced at the French production sites, Verallia France is enabling the leading French sparkling wine brand to strengthen its position in the mixology sector.
The objective of this collaboration is to develop a new eco-designed range in green and extra flint. Verallia has developed a 775-gram bottle adapted to sparkling wines, and manufactured a custom mold dedicated to the production of this reference. The green-tinted bottles incorporate more than 85% external cullet (i.e., glass from recycling) and are produced at the Verallia site in Oiry (France).

Verallia France and Rémy Cointreau promote use of lighter bottles and recycled glass
Verallia France, producer of glass packaging for food and beverage products, and the Rémy Cointreau group have made a joint commitment to using lighter bottles and more recycled glass.
The companies have a historic partnership supporting a joint commitment to the environment.
Verallia France has worked with customers who share its ambition to reduce the environmental footprint of glass, and in particular its carbon impact.
Rémy Cointreau group, which supports and promotes the concept of “sustainable exception” as one of its core values, is investing in reducing its environmental footprint and achieving “net zero” by 2050.
In recent years, the increase in the percentage of cullet used in Verallia’s furnaces has enabled Rémy Cointreau to significantly reduce the environmental impact of its spirits bottles, in particular Rémy Martin VSOP and Cointreau, which now contain more than two-thirds cullet (recycled glass).

Verallia, announces the construction of two additional furnaces by 2025 and 2026 to increase its capacity production and respond to market’s needs
In the framework of the 2022-2024 strategic plan, the Group announced to build three new furnaces, one per year, to increase production capacity by around 400 kilotonnes/year by 2024.
In line with this strategy, the first furnace was commissioned at the Jacutinga plant (Brazil) at the end of 2022.
Two others – which are already under construction – will be fully operational during 2024, in Campo Bom (Brazil) and Pescia (Italy). They will be both powered by oxy- combustion, reducing CO2 emissions by 18% compared to traditional technology.
With today’s announcement of two additional furnaces, Verallia is completing its capacity footprint to meet customer needs in the coming years. These two new furnaces will incorporate new technologies to support the Group sustainable growth.

A pioneer in eco-design for glass packaging for over fifteen years, Verallia takes a new step forward with the launch of Balance, the premium eco-designed range from Selective Line. Verallia Q3 Results: Continued Volume Growth but Profitability Down in a More Difficult Market Than Expected Leading to an Adjustment to 2025 Outlook
HIGHLIGHTS
- Continued volume growth in Q3 in a context of declining consumption: revenue was €846 million (-2.8% compared to Q3 2024) due to lower prices and a deterioration in mix. Adjusted EBITDA[1] reached €181 million or a 21.3% margin, compared to €210 million and a 24.1% margin in Q3 2024
- Profitability down over 9 months: adjusted EBITDA stood at €531 million in 9M 2025, with a 20.7% margin compared to 24.3% in 9M 2024 as slower glass demand in August and September derailed the strong Q2 momentum
- Solid free cash flow generation in Q3, continuing the improvement already noted in H1. Net debt ratio was stable compared to June 30 at 2.6x last 12-month adjusted EBITDA
- Strengthened shareholding structure following BWGI’s tender offer, enabling the Group to continue deploying its long-term strategy
- Verallia’s Net Zero 2040 trajectory validated by the SBTi, making it the first global producer of food and beverage glass packaging to commit to this trajectory for 2040
- 2025 outlook revised down, with adjusted EBITDA now expected around €700 million (previously around €800 million) and free cash flow around €150 million (previously more than €200 million)
Patrice Lucas, Group Chief Executive Officer, said: “Verallia delivered continued organic volume growth in the third quarter. Volumes however fell short of our expectations following a sharp drop in consumption in August and September. Profitability declined after rebounding in Q2, with a still adverse mix. We remain focused on cost control and cash generation which continued to improve in Q3. Consumers increasingly seek authenticity, functional benefits, and formats that foster togetherness. These shifts are prompting brands to view packaging not merely as a container, but as a strategic asset at the heart of their relationship with consumers.

Profound and lasting market shifts
The food and beverage industry is undergoing structural change. This particularly evident in wine and spirits, where moderation has emerged as a defining global trend. At the same time, new categories are gaining traction, most notably no-and low-alcohol beverages, which are expected to grow by 7% annually between 2023 and 2026 (IWSR, 2025).
This reflects a broader cultural shift: moderation is no longer a marginal trend or limited to younger demographics, but a mainstream behavior across generations.
Consumers are also prioritizing wellness, naturalness, and meaningful experiences. Social connection is regaining importance, often expressed through shareable formats and offline moments. Today, 58% of consumers favor food and drinks with proven health benefits, while 42% identify and offline physical activity as the highlight of their week (Accenture, 2025).

Verallia Announces the Success of the Voluntary Public Tender Offer Initiated by BWGIFollowing the initial period of the public tender offer for Verallia’s shares (the “Offer”), BWGI will hold 84,937,142 Verallia shares, representing 70.31% of its share capital and 62.81% of its voting rights.
The initial period of the Offer initiated by BWGI, acting through Kaon V[1], on the Verallia shares that it does not already own, closed successfully on July 25, 2025. 50,097,577 Verallia’s shares were tendered to the Offer during its initial period, representing 41.47% of Verallia’s share capital and 34.88% of its voting rights, allowing BWGI to hold 70.31% of Verallia’s share capital and 62.81% of its voting rights from the settlement-delivery of the initial Offer.
BWGI, which therefore becomes the controlling shareholder of Verallia, intends to support Verallia in creating long-term value by executing its strategic plan, which places innovation and the energy transition at the heart of its project.
The notice of results (avis de résultat) published by the French financial markets authority (“AMF”) is available on its website (www.amf-france.org).
The settlement-delivery of the initial Offer will take place on August 1st, 2025.
Reopening of the Offer
In accordance with the provisions the AMF’s General Regulation, the Offer will be reopened for 10 trading days, under the same financial terms as those set out in Kaon V’s offer document approved by the AMF’s under number no. 25-196 on June 5, 2025 (i.e. an Offer price of €28.30 per Verallia share), in order to enable shareholders who have not tendered their shares to the initial Offer to do so during the reopened Offer if they wish to.
The AMF will publish a notice related to the timetable of the reopened Offer, which will be available on its website (www.amf-france.org).
The tender procedure and the centralization of the reopened Offer will be identical to those applicable to the initial Offer, it being specified, however, that tender orders to the reopened Offer will be irrevocable.

Verallia, the European leader and third-largest glass packaging producer in the world, today inaugurated the first 100% electric furnace at its Cognac plant. This technological innovation, which reduces CO2 emissions by 60% compared to a traditional furnace, is part of the Group’s ambitious decarbonization strategy and marks a decisive step towards a more sustainable future for the glass industry.

In the face of the climate emergency, Verallia has been committed for several years to decarbonizing its activities. Through a clear and robust CSR roadmap, the Group aims to reduce its emissions (scopes 1 and 2) by 46% by 2030 compared to 2019.
As part of this strategy, the Group announced in 2021 the construction of its first 100% electric glass furnace with an investment of €57 million, marking a major milestone towards more sustainable production.
A world first dedicated to the decarbonization of the glass industry
The result of a strategic partnership with Fives, an international industrial engineering group of French origin, this furnace represents a breakthrough in the production of flint and extra-flint glass. With a daily capacity of 180 tons, equivalent to 300,000 bottles, it reduces CO2 emissions by 60% compared to a traditional furnace.
This innovation is aligned with the Group’s goals of drastically reducing its carbon emissions through an ambitious investment policy aimed at transforming the technologies, resources, and industrial equipment used at its sites.

Reflecting new wine and spirits consumption practices, the 2025 Trends Book is viewed through the lens of three distinct consumer profiles.
